Terms of Service

1. About These Terms

These Terms of Service govern your use of monumentlabs.io (the "site"), operated by Monument Labs LLC ("Monument Labs," "we," "us"), a technology consultancy based in Richmond, Virginia. By using the site, you agree to these terms. If you do not agree, please do not use the site.

Paid consulting engagements are governed by a separate signed agreement or statement of work. If that agreement conflicts with these terms, the agreement controls.

2. Inquiries

Submitting an inquiry, sending a message, or booking a call does not create an engagement or any obligation for either party. An engagement begins only when both parties sign a written agreement.

3. Informational Content and Free Assessments

Content on the site, and any free teardown or assessment we provide, is for general information only. It is not legal, financial, or other professional advice, and you should evaluate it for your own situation before acting on it.

4. Use of AI

Our work may use AI tools. AI-assisted outputs can contain errors and should be reviewed before anyone relies on them.

5. Acceptable Use

When using the site, you agree not to:

  • Use it for any unlawful purpose or in violation of others' rights
  • Interfere with the site, its security, or its infrastructure, or attempt to gain unauthorized access
  • Scrape the site or use bots or other automated means to submit forms or overload it
  • Submit false, misleading, or spam inquiries

6. Intellectual Property

  • Our content: The site's text, graphics, logos, and software belong to Monument Labs and are protected by copyright and other intellectual property laws.
  • Your property: You keep all rights to your existing intellectual property. Ownership of work created for you is set by your agreement with us; unless it says otherwise, custom work created specifically for you becomes yours upon full payment.
  • Our methods: We keep the right to reuse general know-how, methodologies, and anonymized learnings from our work to improve our services.

7. Confidentiality

We treat the business information you share with us, such as strategies, financial details, technical specifications, and customer data, as confidential. Confidentiality for paid work is governed by your agreement with us.

8. Payment Terms

The site does not accept payments. Fees and payment terms for paid work are as set out in your agreement. Unless the agreement says otherwise, invoices are due within 30 days, late payments may incur interest, and fees are non-refundable.

9. Third-Party Links

The site may link to or embed third-party websites and tools, such as our scheduling tool. We are not responsible for their content or practices, and their own terms apply.

10. Privacy

Our Privacy Policy explains how we collect and use personal information.

11. Warranties and Disclaimers

The site and its content are provided "as is" and "as available," without warranties of any kind, express or implied. We do not warrant that the site will be uninterrupted, error-free, or completely secure. We work with professional competence and care but cannot guarantee specific results.

12. Limitation of Liability

To the maximum extent permitted by law, Monument Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the site or our services. Our total liability will not exceed the amount you paid us for services in the twelve (12) months before the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless Monument Labs and its owners, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from your misuse of the site or your violation of these terms.

14. Governing Law

These terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of law rules. Any legal action arising under these terms will be brought exclusively in the state or federal courts located in Richmond, Virginia.

15. Changes to These Terms

We may update these terms from time to time by posting the new version here and updating the effective date. Continued use of the site after an update means you accept it. Changes to these terms do not alter any signed agreement.

16. Severability and Entire Agreement

If any part of these terms is found invalid or unenforceable, the rest remains in effect. These terms, together with any signed agreement between us, are the entire agreement between you and Monument Labs regarding their subject.
