Terms and Conditions

1. Agreement to Terms

By accessing or using the services provided by Monument Labs, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.

2. Services Description

Monument Labs provides technology consulting services including but not limited to:

  • Software development and custom application development
  • Artificial intelligence integration and workflow automation
  • Data strategy, analysis, and insights implementation
  • Strategic technology planning and digital transformation

3. Use of Services

You agree to:

  • Provide accurate and complete information when engaging our services
  • Use our services only for lawful purposes and in accordance with these Terms
  • Respect all intellectual property rights
  • Maintain the confidentiality of any account credentials

You agree NOT to:

  • Use our services for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction
  • Infringe upon the rights of others
  • Attempt to gain unauthorized access to our systems

4. Intellectual Property Rights

  • Our Property: All content on our website, including text, graphics, logos, and software, is the property of Monument Labs and is protected by copyright and other intellectual property laws.
  • Client Property: You retain all rights to your existing intellectual property. Any custom work created specifically for you under a service agreement will be owned by you upon full payment, unless otherwise specified in a separate agreement.
  • License to Use: We retain the right to use anonymized data and general methodologies developed during our engagement for research, analysis, and improvement of our services.

5. Payment Terms

  • Payment terms are specified in individual service agreements
  • Invoices are typically due within 30 days unless otherwise agreed
  • Late payments may incur interest charges as specified in the service agreement
  • All fees are non-refundable unless otherwise stated in writing

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information received during the course of our business relationship, including:

  • Business strategies and plans
  • Financial information
  • Technical specifications
  • Customer data
  • Trade secrets
  • Proprietary methodologies

7. Warranties and Disclaimers

Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied:

  • We do not warrant that our services will be uninterrupted, error-free, or completely secure
  • We provide our services with professional competence and care but cannot guarantee specific results

8. Limitation of Liability

To the maximum extent permitted by law, Monument Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services. Our total liability shall not exceed the amount paid by you for the services in the twelve (12) months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Monument Labs, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of our services or your violation of these Terms.

10. Termination

  • Right to Terminate: Either party may terminate the service agreement with written notice as specified in the individual service agreement. Upon termination, all outstanding fees become immediately due and payable.
  • Effect of Termination: Upon termination, we will provide you with any deliverables completed and paid for up to the date of termination. Confidentiality obligations survive termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Richmond, Virginia.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with any individual service agreements, constitute the entire agreement between you and Monument Labs regarding the use of our services.
